**JOB SUMMARY**

The Legal Administrator is responsible in handling administrative matters of the Legal Department, the Board of Directors, the Executive Committee, and in assisting the Corporate Secretary when it comes to corporate matters and provide plans and suggest solutions to corporate problems.
Assist the Legal manager in implementing the Legal department's roles and responsibilities.
**JOB SPECIFICATIONS**
- **EDUCATION**: Preferably College graduate of AB or any business course
- **EXPERIENCE**: With at least 3 to 5 years experience dealing with corporate governance, government agencies, judicial and quasi-judicial agencies
- **BREAK IN PERIOD**: Six (6) months
- **Other**:Must be physically and mentally fit to adapt to the pressures of work, must have good communication skill

**MAJOR DUTIES AND RESPONSIBILITIES**

a.
Perform administrative functions within the Board of Directors, Executive Committee and assist the Corporate Secretary in the performance of its functions, such as but not limited to the following:

- Organization/Safekeeping of documents/files, such as but not limited to filing, typing, copying, binding, scanning, etc.
- Develop and maintain a filing system;
- Prepare, produce and distribute correspondence memos, letters and forms;
- Assist in the preparation of regularly scheduled reports;
- Provide information by answering questions and requests;
- Research, create presentations and handle multiple projects;
- Monitor and assist in the preparation of compliances with government regulatory requirements;

Assist during the meetings conducted by the Stockholders/Board of Directors/Executive Committee;
c. Coordinate with and assist the Corporate Secretary on the matters related to the holding of the Stockholders/Board of Directors/Executive Committee meetings;
d. Resolve administrative problems;
f. Assist the Corporate Secretary in the preparation and filing of Stock Certificates, when necessary;
g. Keep, scan and file Articles of Incorporation, By-Laws, Minutes of Meetings, Voice/Audio Recordings of Meetings, Board Resolutions, Executive Committee Resolutions, Corporate Secretary Certificates and Executive Secretary Certificates;
h. Assist the Legal Manager in handling administrative and disciplinary cases, and grievance and labor related matters.

Assist in the formulation of the company/departmental/procedural guidelines, policies and internal rules and regulations.
j.
Assist in the collection of delinquent accounts endorsed to legal by sending demand letters, conduct follow-ups and updating.
k. Assist the legal manager in conducting legal research, preliminary interviews and gathering of data and facts for purposes of drafting MOAs, Contracts, Pleading, Pleadings, Motions and Compliances.
l. Keep updated with the regulations and issuances of DOLE, SEC and other government agencies and communicate to department/s concerned the filing of compliances.
m. Find, formulate and suggest solutions to corporate challenges, and guide, direct and monitor the activities of the legal departments.
**MINOR DUTIES AND RESPONSIBILITIES**

a.
Assist in the performance of administrative functions within the legal department

b.
Coordinate with point persons and/or offices on matters concerning the day-to-day operations of the Department/Board of Directors/Executive Committee.
c. Act as Executive Committee Secretary and certify Executive Committee Resolutions;
- Notarize documents relating to Board Resolutions, Secretary Certificate, Executive Committee Resolutions and Executive Committee Secretary's Certificate and such other documents related to BOD and Executive Committee matters.
- Compile copies of notarized documents relating to Board Resolutions, Secretary Certificate, Executive Committee Resolutions and Executive Committee Secretary's Certificate and such other documents related to BOD and Executive Committee matters.
- Prepare and compile and update compliances to SEC Regulations and corporate forms

**Salary**: Php25,000.00 - Php35,000.00 per month

- Parañaque City: Reliably commute or planning to relocate before starting work (required)
