Position: Legal Entity Governance and Statutory Compliance Officer (Lawyer)
Responsibilities
:
Local governance on statutory obligations and regulatory compliance
Reviews, interprets and disseminate current and new proposed statutory rules, laws and regulations
Provides consultation, guidance and advice to management and partners regarding local statutory, legal, relevant laws legislations and regulatory matters impacting the NOSAI
Establishes business development and strategies and act as project leads matters related to legal and compliance
Acts as assistance corporate secretary responsible for certain corporate governance, stockholders and board of directors meetings, executive officer related matters within local corporate governance
Responsible in organizing board meetings, preparing board packs, scheduling board meetings and annual stockholders meetings
Ensures that required board of directors and board committee meetings of the corporation and the bank are properly called, held, and recorded. Prepares for and coordinates the annual stockholder meeting. May be required to prepare for and coordinate offsite meetings
Coordinates and organizes the flow of information to directors and executive officers of the corporation and the bank by various means, including a third party vendor electronic platform
Administers certain programs to ensure compliance with certain significant PEZA, DOLE rules and other relevant statutory, legal or regulatory requirements. Acts as a consultant on those rules and regulations with the management team, NOSAI directors and other officers. Prepares required reports and monitoring of its compliance.
Coordinates the production of any records that are required in connection with litigation involving NOSAI
May be required to undertake one or more of the following: act as a consultant to NOSAI regarding procedures and regulations relating to the administration of the corporate affairs; work as a liaison and legal representative of NOSAI and serves as consultant to the advisory council; and plan new director orientation in accordance with regulatory and corporate governance requirements
From time to time responsible for special or strategic projects related to legal, statutory and regulatory compliance
Certifies corporate documents
Carries out relatively complex, extensive, high profile activities e.g. direct interaction with senior management
May review corporate correspondences, legal documents and other statutory and regulatory documentation and reporting, and sign-off, as needed
Acts as the vendor or outsourcing manager on legal engagements of the company
Jobrequirements and eligibility:
Has at least 5 years of relevant work experience as a Corporate lawyer, preferably in a multinational and fast-paced work environment.
Experience in local governance on statutory or regulatory compliance of the company
Proven experience as a legal counsel or compliance officer in business environment
Excellent knowledge and understanding of corporate law and local regulations in the Philippines, preferably in shared services or BPO setting
Demonstrated ability to create legal documentation, defensive or proactive strategies
High degree of professional ethics and integrity
Sound judgement and ability to analyze situations and information
Outstanding communication skills
