JOB SUMMARY: Legal Counsel shall be responsible to discharge functions in relation to: Legal Operational Support to Business Units of Nissan Philippines as may be assigned to him/her by the GM-CLAD and Immediate SuperiorCompliance and Risk ManagementCorporate Housekeeping FunctionsAdministrative and related functionsSuch other matters as may be assigned by Legal Counsel I (Senior Manager), CLAD/EGA and GM-CLAD/EGALegal Counsel shall have a direct administrative and functional reporting line to Legal Counsel I (Senior Manager). JOB FUNCTION: Legal Affairs / Operational Support. a. Management and working responsibility for all legal issues related to the operations of the company including, without limitation;
Distribution Agreement(s) and related transactionsAdvertising, Marketing/Sales and consumer issuesCompetition law/regulatory mattersIntercompany Agreements (development, manufacturing licenses, vehicle and parts supply, etc.)Joint venture/Strategic partnership agreements including agreements with other manufacturers/suppliersLitigationM&Ab. Legal Operational support to the following BUs:
Human Resources & General Affairs and Employee related concernsDealer Network Development and Customer Complaints/Concerns LitigationPR and CommunicationsOffice of the PresidentNew Business VenturesC-PLANFinanceManagement of External Counsels for Litigation and Legal MattersThe above-assignment of BUs are subject to change, depending on the requirements of the Company and the Division.

In addition, Legal Counsel I will; Play an active role in setting-up affiliates and new companies and preparing for the business commencement.Draft, review and be part of the team to negotiate contracts.Actively communicate, cooperate and coordinate with colleagues in the Nissan Global Legal Function and other shareholders of this company.Provide relevant training to NPI and Dealer Personnel on relevant laws and government policies affecting the operations of NPI and the Dealers, as may be necessary.3. Compliance and Risk Management. Take an active role in and be part of NPI's Compliance committee, Administrative Investigations Committee and other relevant Committees to review existing internal controls and propose necessary revisions or additions thereto.Investigate violations of NPI's Code of Conduct and/or PoliciesAssess and effectively manage legal risks that expose the Company to legal and administrative sanctionsManagement and working responsibility for all legal issues and tasks related thereto as may be assigned.4. Public Policy / Industry Affairs. Assist the GM-CLAD and EGA Manager in the lobbying of all regulatory issues that affect the industry.Deal "hands on" with the most significant legal issues for in the Philippines including joint ventures/strategic partnerships with other manufacturers/suppliers, agreements with government authorities, corporate issues, tax-related affairs and HR issues.5. Administrative Matters / Other Functions Liaising, Coordinating and Managing external counsel and referral of legal requests.Monitoring handling by external counsel of referred requests.Work with GM-CLAD/EGA, Legal Counsel I, EGA Manager and CLAD Paralegal in the planning and administering the CLAD Budget for the Fiscal Year.Work with functional units for the submission of government-required reports, forms and papers.Contract Management and safekeeping of NPI's legal agreements.Review and revision of assigned BU Policies and Procedures.Preparation of needed documents or forms required by the Government.Administration of CLAD/EGA Systems and Contract Management Systems.6. Other Duties and Responsibilities Other related duties and responsibilities that may be assigned from time to time. MINIMUM QUALIFICATIONS: Education and CertificationBachelor of Laws, graduate from a reputable university/school with good scholastic records.Passed the Bar examination and a member of the Integrated Bar of the Philippines in good standing.2. Experience At least 3-5 years minimum PQE, experience in the automotive industry is a plus.Candidates from law firms are welcome to apply, but an appreciation of the environment that the recruit will be required to operate within is necessary.3. Skills and Competencies Excellent grasp of contract law, commercial law, data privacy law, and relevant trade and business law.Exposure to international commercial contracts and transactions is an advantage.Proven track record in commercial law, working in an international environment.Good grasp of the regulatory framework in the Philippines.An excellent command of English (written and spoken).Excellent presentational skills and ability to persuasively put an argument with senior managers, third parties, and government officials.4. Physical requirements/Other Requirements Preferably with valid driver's license and driving skills.Able to immediately generate confidence within the company, the global legal function and with senior commercial managers.Capable of taking responsibility, working transparently and showing leadership.A diplomatic, transparent, and sensitive approach to managing conflicts should they arise.Nissan is a relatively "flat" organization. Whilst the appointment may be at Manager level, the recruit will have to deal with staff at every level of the Nissan organization and must have the confidence and maturity to a) act decisively and b) advise pro-actively and convincingly.Willingness to work very flexibly in a cost-sensitive, rapidly changing company and business environment.Amenable to local and international travel for short or extended duration.Amenable to work in a hybrid setup (at least 2-3 times work in the office).For WFH setup, must have good internet access capable of email and online meetings.Of high integrity with no previous or pending employee-related cases or violations of former Company Code of Conduct.
