The Legal Counsel will provide legal advice and support to the company in all aspects of its real estate and housing development operations. The role involves overseeing a small group of experienced liaison staff while ensuring compliance with relevant laws and regulations, managing legal risks, drafting and reviewing contracts, and assisting with property acquisitions and dispute resolution. The Legal Counsel will also represent the company in various legal matters and work closely with internal teams and external stakeholders.
Key Responsibilities:
Contract Drafting and Review: Prepare, review, and negotiate contracts related to property acquisition, construction, financing, leasing, and sales. Ensure all contracts are legally sound and protect the company's interests.
Compliance: Ensure that the company adheres to all relevant local, regional, and national laws, including zoning, environmental, and housing development regulations. Monitor updates in housing and real estate laws.
Property Due Diligence: Conduct legal due diligence for land acquisition and real estate transactions, verifying property titles, deeds, ownership rights, and encumbrances.
Regulatory Liaison: Liaise with government agencies such as the Housing and Land Use Regulatory Board (HLURB), Land Registration Authority (LRA), Department of Environment and Natural Resources (DENR), and local government units to secure necessary permits and licenses.
Dispute Resolution: Provide legal support for dispute resolution, including land disputes, contractor or supplier disagreements, and buyer complaints. Represent the company in negotiations, mediation, and, if necessary, litigation.
Legal Risk Management: Advise management on potential legal risks and provide solutions to mitigate those risks. Monitor and report on pending or potential legal issues.
Corporate Governance: Ensure the company complies with all corporate governance requirements, including board meetings, resolutions, and corporate filings.
Permits and Licensing: Assist in the acquisition of permits and licenses necessary for property development projects, ensuring that all legal documentation is in order.
Litigation Management: Assist in managing litigation cases, working with external counsel as needed, and representing the company in legal proceedings.
Legal Research: Conduct research on legal issues relevant to the company's operations, including new or changing laws and regulations.
Key Qualifications:
Education: Bachelor of Laws (LLB) or Juris Doctor (JD) degree from an accredited law school; must be a member of the Philippine Bar.
Experience: Minimum of 2 years of experience as a legal counsel, with experience in the real estate, housing development, or construction industry preferred.
Knowledge: Strong understanding of Philippine real estate and property laws, including laws related to land acquisition, zoning, titling, and housing development regulations.
Skills:
Excellent legal drafting and contract negotiation skills.
Strong analytical and problem-solving abilities.
Solid understanding of litigation and dispute resolution processes.
Ability to communicate complex legal matters clearly to non-legal stakeholders.
Licenses/Certifications: Must be a licensed attorney in the Philippines.
