We are seeking a motivated and detail-oriented Junior Legal Counsel to join our Legal and Compliance team. The ideal candidate will possess a strong understanding of compliance and securities law in the Philippines and have the ability to provide legal support across various functions of the firm. The Junior Legal Counsel will work closely with the Senior Legal Counsel and other members of the legal team, as well as the finance team, to ensure compliance with relevant regulations and provide strategic legal advice to support the firm's business operations.
Key Responsibilities: Legal Advice and Support: Provide legal advice and support on a wide range of matters, including corporate governance, regulatory compliance, and contract management.Assist in drafting, reviewing, and negotiating contracts, agreements, and other legal documents.Conduct legal research and analysis to support the firm's business activities and decision-making processes.Regulatory Compliance: Monitor and ensure compliance with relevant securities laws and regulations in the Philippines and other jurisdictions where the firm operates.Monitor and ensure compliance with relevant SEC laws and regulations.Liaise with regulatory authorities and manage regulatory filings and submissions.Develop and implement compliance policies and procedures to mitigate legal risks.Corporate Governance: Assist in maintaining corporate records and ensuring compliance with corporate governance requirements.Support the preparation and coordination of board meetings, including drafting minutes and resolutions.Identify and assess legal risks associated with the firm's operations and business activities.Provide guidance on risk mitigation strategies and ensure effective risk management practices are in place.Training and Development: Assist in developing and delivering training programs on legal and compliance matters to employees.Stay updated on changes in securities law and other relevant regulations, and communicate these changes to the legal team and other stakeholders.Requirements: J.D. or equivalent degree in Law from a recognized institution. Admission to the bar in the Philippines is highly preferred.Minimum of 1-3 years of experience in a legal role, preferably within the financial services or investment industry.Strong understanding of securities law in the Philippines, including knowledge of the Securities Regulation Code and relevant regulations issued by the Securities and Exchange Commission (SEC) of the Philippines, business permit processing and compliance.Good government relations and interpersonal skills.Excellent legal research, analytical, and problem-solving skills.Strong drafting, negotiation, and communication skills.Ability to work effectively both independently and as part of a team.High level of integrity and professionalism.Attention to Detail: Ensures accuracy in legal documents and maintains a high standard of quality in all work performed.Analytical Thinking: Demonstrates strong analytical skills, with the ability to interpret complex legal information and provide clear, practical advice.Communication: Communicates effectively, both verbally and in writing, with internal and external stakeholders.Teamwork: Collaborates effectively with colleagues and contributes to a positive team environment.Time Management: Manages multiple tasks and deadlines effectively, prioritizing work to meet business needs.
