DUTIES and RESPONSIBILITIES:
• Applies legal knowledge to support the Company and its Business Units.
• Review policies issued by other business units to ensure, among others, compliance with law and consistency with existing policies.
• Provide copies of legal documents to requesting Business Units.
• Studies and provides recommendations on legal issues involving the Company.
• Applies strategies in utilizing relevant legal policies, procedures, and/or standards.
• Manages comprehensive project procedures, principles, and processes of legal matters.
• Reviews, interprets and analyzes customer, vendor, and other contracts.
• Works with the different Business Units in reviewing contracts to ensure that commercial, technical, and other non-legal terms are reviewed.
• Maintains the contract repository and provides summary of contracts to requesting Business Units.
• Manages and keeps copies of corporate records, such as articles of incorporation, by-laws, minutes and board resolutions.
• Oversees and coordinates with the Company's outside counsel the handling and management of legal cases to protect the Company's interest and minimize cost and exposure, if any.
• Reports and updates the General Counsel and management on existing and potential legal issues or problems that might put the Company at risk.
• Provides corporate and other related information to business units and affiliates.
• Examines legal data to determine advisability of defending or prosecuting lawsuits.
• Collaborates with Human Resources on all issues of the law related to the organization's human capital.
• Monitors legal issues and implications concerned with discrimination, sexual harassment, health and safety, hiring and firing, as well as other aspects of employee rights and responsibilities.
• Collaborates with immediate superior in developing group goals, objectives, and procedures.
• Aligns corporate and organizational unit performance metrics and assessment systems to established corporate strategies.
EDUCATION and EXPERIENCE:
• Must be an LLB or JD graduate and a member of the Philippine Bar in good standing or must have a law degree that qualifies to practice law.
• With at least 2 years of experience in a LAW FIRM and handled Corporate Clients; with extensive exposure in contract review and negotiation of cross-border transactions.
• Must have presentation and analytical skills.
• Must have problem-solving and innovative skills.
• Must have strong negotiation and interpersonal skills.
• Must have excellent oral and written communication skills in English.
