The ideal candidate will have a strong background in corporate law, excellent analytical and problem-solving skills, and the ability to work collaboratively in a dynamic and fast-paced environment.Responsibilities:1.Legal Advisory:•Provide expert legal advice and guidance on corporate matters to internal stakeholders, including its executives, the management, and other departments within the organization.•Interpret and apply laws and regulations relevant to the company's business operations and ensure compliance with all legal requirements as part of the Company's daily operations.2.Contract Drafting and Review:•Draft, review, and negotiate a wide range of contracts, agreements, and legal documents related to the company's business activities.•Ensure that contracts align with the company's legal and business objectives while always bearing in mind the need to eliminate all possible and potential risks.3.Mergers and Acquisitions:•Participate in due diligence processes for mergers, acquisitions, and other business transactions.•Provide legal support in structuring and negotiating deals, drafting transaction documents, and facilitating the closing of transactions.4.Corporate Governance:•Oversee and ensure compliance with corporate governance principles and practices.•Advise the Board of Directors and the management on important matters, corporate policies, and procedures necessary to uphold legal and ethical standards.5.Dispute Resolution:•Handle legal disputes, litigation, and other legal matters that may arise.•Work closely with external legal counsel when necessary and represent the company's interests in legal proceedings.6.Regulatory Compliance:•Stay informed about changes in laws and regulations affecting the company.•Develop and implement compliance programs to mitigate legal risks and ensure adherence to industry standards.7.Training and Education:•Conduct legal training sessions for employees to enhance legal awareness within the organization.•Keep the internal teams updated on relevant legal developments impacting the business.•Compliant with the Minimum Continuing Legal Education (MCLE) requirement.
