Job Overview:
The Compliance Head is responsible for ensuring that the stockbroking firm adheres to all relevant laws, regulations, and guidelines set by the Philippine Stock Exchange (PSE), Securities and Exchange Commission (SEC), Capital Markets Integrity Corporation (CMIC), and other governing agencies. The role requires in-depth knowledge of compliance and regulatory requirements in the financial and securities industry, with the goal of protecting the firm's integrity and avoiding legal penalties. The Compliance Head leads a team that ensures all operational, financial, and regulatory activities are conducted within a compliant framework.
Key Responsibilities: Regulatory Compliance:Ensure full compliance with the rules, regulations, and requirements of the PSE, SEC, CMIC, and other government agencies.Keep the firm updated on all new laws, regulations, and guidelines issued by these regulatory bodies, and oversee the implementation of necessary changes.Coordinate with relevant departments to ensure compliance with Anti-Money Laundering (AML) regulations, Know Your Customer (KYC) requirements, and data privacy laws.Prepare and submit regulatory reports, filings, and disclosures as required by the PSE, SEC, CMIC, and other regulatory authorities.Internal Compliance Program Management:Develop, implement, and oversee the firm's internal compliance policies and procedures, ensuring that they align with industry regulations and best practices.Regularly review and update the compliance manual and related documents to ensure they reflect current regulatory requirements.Lead the compliance team in conducting regular audits, risk assessments, and compliance reviews to identify and mitigate potential risks or breaches.Ensure the firm's code of conduct and ethical standards are upheld by all employees and stakeholders.Communication with Regulatory Authorities:Act as the firm's primary liaison with regulatory bodies, including the PSE, SEC, CMIC, Bureau of Internal Revenue (BIR), and Bangko Sentral ng Pilipinas (BSP).Manage all communications with government agencies regarding compliance matters, audits, inspections, and inquiries.Respond promptly and effectively to any regulatory inquiries, investigations, or compliance issues raised by authorities.Training and Awareness:Develop and implement compliance training programs for employees at all levels to ensure that they understand their responsibilities and the firm's compliance policies.Conduct workshops, seminars, and training sessions on compliance topics, including AML, data privacy, and other regulatory obligations.Foster a culture of compliance within the organization, ensuring that employees are proactive in adhering to regulatory standards.Monitoring and Reporting:Continuously monitor the firm's operations, transactions, and activities to identify potential compliance risks.Develop systems and processes to ensure real-time monitoring and reporting of non-compliance issues.Prepare and present detailed compliance reports to senior management, the board of directors, and regulatory bodies as required.Oversee the firm's response to any regulatory audits, inspections, or penalties, ensuring prompt and effective resolution of compliance issues.Risk Management:Identify, assess, and mitigate compliance risks across the firm's operations, especially those related to market conduct, trading practices, and reporting obligations.Ensure that robust internal controls and monitoring systems are in place to minimize regulatory risks.Conduct periodic risk assessments and review potential conflicts of interest, implementing corrective actions when necessary.Cross-Department Collaboration:Work closely with legal, finance, operations, and other departments to ensure that all business activities are in compliance with regulatory standards.Provide guidance and advice to management on regulatory changes that could affect the firm's operations or strategic plans.Lead internal investigations and take corrective actions in case of compliance breaches.Compliance with Industry Standards:Ensure compliance with the Corporate Governance Manual and related frameworks as per SEC and PSE standards.Collaborate with CMIC in relation to surveillance, trade audit, and inquiries regarding market integrity issues.Manage the firm's adherence to capital market regulations and standards, ensuring transparency and ethical market practices.Minimum Requirements: Educational Background: Bachelor's degree in Law, Business Administration, Finance, Accounting, or any related field. Advanced certifications in compliance or securities regulation is a plus.Work Experience: At least 7-10 years of experience in a compliance role within the financial services or stockbroking industry, with at least 3 years in a managerial or supervisory capacity.Expertise in Regulations: Strong knowledge of PSE, SEC, CMIC, AML, BSP, and other relevant government and industry regulations.Technical Skills: Proficiency in using compliance management software, audit tools, and reporting systems.Leadership Skills: Strong leadership and team management skills with the ability to lead and mentor a compliance team.Analytical and Problem-Solving Skills: Ability to analyze complex regulatory requirements and implement practical compliance solutions.Communication Skills: Excellent communication and presentation skills, with the ability to interact effectively with regulatory authorities, senior management, and employees.Preferred Qualifications: Experience in leading compliance programs for a stockbroking firm regulated by the PSE and CMIC.Advanced certification in securities law or compliance (e.g., Certified Compliance Officer, CAMS, etc.).In-depth knowledge of Philippine corporate governance practices and market integrity rules.
